1. About the Service

ProfitPour is a web-based software platform designed for bars, pubs, restaurants, and hospitality businesses. The Service enables users to calculate drink costs, set selling prices, manage ingredients and recipes, and analyse profit margins.

The Service is available at www.profitpour.co.uk and may be accessed through supported web browsers.

2. Eligibility

To use the Service, you must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By registering, you confirm that the information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscriptions & Billing

Free Plan

ProfitPour offers a free plan with limited features. No payment information is required to use the free plan.

Paid Plans

Paid plans ("Pro") unlock additional features and are billed on a recurring basis (monthly) or a one time purchase as selected at the time of purchase. Prices are displayed in GBP and are inclusive of VAT where applicable.

Payment Processing

All payments are processed securely via Stripe Payments Europe Ltd. By subscribing, you authorise us to charge your chosen payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.

Price Changes

We may change subscription prices from time to time. We will give you at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) to access the Service without permission
• Upload malicious code, viruses, or harmful content
• Impersonate another person or misrepresent your affiliation
• Resell or redistribute the Service without our written consent

6. Your Content & Data

You retain ownership of all data and content you input into the Service ("Your Content"), including ingredient costs, recipes, pricing data, and business information.

By using the Service, you grant us a limited licence to store, process, and display Your Content solely for the purpose of providing and improving the Service. We will not share Your Content with third parties except as described in our Privacy Policy.

You are responsible for ensuring that Your Content does not infringe any third-party rights.

7. Intellectual Property

All rights, title, and interest in the Service, including its design, software, branding, trademarks, and documentation, are owned by ProfitPour Ltd. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.

Feedback and suggestions you provide may be used by us to improve the Service without any obligation to you.

8. Availability & Support

We aim to keep the Service available at all times but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Support is provided via email. We will endeavour to respond to queries within a reasonable timeframe.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or available without interruption.
• ProfitPour shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

10. Indemnification

You agree to indemnify and hold harmless ProfitPour Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your use of the Service, or your violation of any applicable law or third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms. Upon termination:

• Your right to access and use the Service ceases immediately
• We may delete Your Content after a reasonable retention period
• Any outstanding fees remain payable
• Provisions that by their nature should survive termination will remain in effect

You may also close your account at any time by contacting us.

12. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Stripe for payments). We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is subject to their own terms and policies.

13. Changes to These Terms

We may update these Terms from time to time. If changes are significant, we will notify registered users via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProfitPour Ltd regarding the use of the Service and supersede any prior agreements or understandings.
